Hannah Wilson is a recognised corporate and commercial specialist trusted by New Zealand’s leading organisations on their most significant and complex transactions. Hannah brings clarity, sound judgement, and calm execution to high-stakes deals.  Hannah has deep expertise advising corporate clients on M&A, joint ventures and strategic partnerships, group restructuring and separation activities, carve-outs and integration, complex supply chain and distribution structures, loyalty programme arrangements, and large-scale procurement and outsourcing matters. Clients value her ability to negotiate outcomes that work in dynamic environments, and build relationships that endure well beyond completion.

Hannah advises across a broad range of industries, with particular depth in the automotive, manufacturing, transport and logistics, and life sciences sectors.

Having returned to New Zealand to join the partnership at Russell McVeagh after an extended period at global law firm Hogan Lovells, Hannah combines international perspective with deep local market knowledge.

Hannah also co-heads the firm's ESG working group and advises clients on ESG supply chain risks and ESG governance.

Hannah's recent experience includes advising on significant corporate transactions across her key sectors:

Primary industries and infrastructure

  • Fonterra Cooperative Group on the NZD $4.22 billion sale of its global consumer and associated businesses to Lactalis, including the associated separation and manufacturing and supply chain arrangements.
  • QIC Private Capital on the acquisition of a 50 percent interest and joint venture arrangements in Vector Limited’s Australian and New Zealand metering business, in a transaction valued at NZ$2.51 billion.
  • Holcim on its demerger of its joint venture, AML, and the acquisition of 20 concrete plants from AML as part of the demerger.
  • Rexel SA, a French listed multichannel electrical distributor, on the sale of Ideal Electrical, its New Zealand business.
  • Fonterra Cooperative Group on its establishment of ‘Trading Among Farmers’ including establishing a new private share market operated by NZX Limited, and an initial public offering by the Fonterra Shareholders’ Fund and its listing on both the NZSX and ASX.

Automotive, logistics and transport:

  • Ford Motor Company on its strategic alliance and joint venture with Volkswagen for vehicle development and shared investment in innovation and technology, including leading negotiations on key strategic and commercial issues (prior firm experience).
  • Daimler AG on its investments in the Mercedes AMG Petronas Formula One Team, and on UK aspects of its global corporate restructuring to separate its car and van business from its truck and bus business (prior firm experience).
  • OEMs in relation to their New Zealand business, including dealer arrangements and distribution models.
  • Corporate clients on large-scale RFP processes and the procurement of complex logistics and transport arrangements in New Zealand.
