Hannah is a corporate lawyer who specialises in M&A, complex commercial contracting, joint venture and shareholder arrangements. Clients value Hannah's combined strengths in M&A and commercial transactions as she understands not just the anatomy of getting a deal done, but also how the relationship will work out once the ink has dried on the contracts.

Hannah returned to the firm in January 2022 after an extended period at global law firm Hogan Lovells, where she gained particular experience working on strategic transactions for clients in the life sciences and automotive industries. 

Experience

Hannah's recent experience includes advising:
 
  • QIC Private Capital on the successful completion of its purchase of 50% of Vector Limited's New Zealand and Australian metering business.
  • Ford Motor Company on a strategic alliance with Volkswagen for the development of vehicles and sharing investments in innovation and technology. Hannah has led negotiations on a wide-range of key strategic issues relating to the overall alliance.
  • Novartis on the separation of their Manufacturing and Supply arrangements as a consequence of the spin-off of Alcon and its listing on SIX Swiss Exchange and New York Stock Exchange. In connection with this transaction Hannah was seconded to Novartis' technical operations team in Basel, Switzerland.
  • Daimler AG on their investments in the Mercedes AMG Petronas F1 Team and advising on the UK aspects of Daimler AG's global corporate restructuring, to give effect to the separation of its car and van and the truck and bus businesses.
  • Genesis Energy on its securities offering and listing on the NZX pursuant to the Government MOM process.
  • Fonterra Co-operative Group Limited on its establishment of ‘Trading Among Farmers’, including establishing a new private share market operated by NZX Limited, an initial public offering by the Fonterra Shareholders’ Fund and its listing on both the NZSX and the ASX.
