Simon has expertise across the full spectrum of banking and finance matters. He advises on:

  • a range of corporate, acquisition and project finance transactions;

  • debt capital markets and listing and participant rules; and

  • the regulation of financial service providers in New Zealand.

Simon has advised clients on a range of matters, including:
 

Acquisition finance

  • Financiers to the successful bidders for the Vodafone towers network in relation to the acquisition and ongoing financing arrangements for the towers group.

  • The successful purchaser of the Advanced Personnel Management group in relation to its acquisition financing arrangements.

 Corporate finance

  • Lenders in relation to the financing arrangements for the Building Supplies (formerly Carter Holt Harvey), Canberra Data Centres and Oceana Gold groups.

  • Meridian Energy, Unison Networks, FNZ, Greymouth Petroleum and NZ Post in relation to their corporate facilities.

Project finance

  • MBIE on a broad range of project financing structures to borrowers under the Provincial Growth Fund and related funds. 

  • Turners & Growers in relation to loans to various growers.

  • New Zealand Green Investment Finance on financing arrangements to borrowers for green projects.

Debt capital markets

  • Kiwibank in relation to its recent regulatory capital issuances.

  • BNZ and Kiwibank in relation to their RMBS programmes.

  • FinTechs in relation to the issue of prepaid currency cards.

  • Meridian Energy regarding the establishment of its Green Finance Framework.

  • Meridian Energy and Unison Networks in relation to their USPP issuances.

  • Meridian Energy, BNZ and Infratil on their retail bond issuances. 

Financial regulation

  • Advising registered banks on disclosure statements, the Reserve Bank's Banking Prudential Requirements and a range of other regulatory and corporate governance matters. 

  • Westpac on the sale of Westpac Life.

  • Kiwi Wealth on the sale of Hatch. 

  • An overseas bank regarding the requirements of the various NZX participant rules.

  • Various overseas financial institutions and FinTech providers on the financial regulation of activities in New Zealand (including licensing, registration and ongoing requirements).
