Matt has significant experience advising financial institutions, non-bank/direct lenders, sponsors and corporates on a wide range of market-leading cross-border financing transactions, including acquisition finance (across the credit spectrum and including public takeovers), corporate finance, restructurings and margin lending. He also provides advice on financial services regulation and advises issuers on debt capital markets issuances.

Experience

His recent work includes advising:

  • the underwriting banks on a c.€1.3bn secured term and revolving credit loan financing for Playtech Plc (a leading developer of gambling software) in connection with its public takeover of Snaitech S.p.A;

  • Pacific Equity Partners on the financing for its acquisition of Academic Colleges Group;

  • a club of unitranche lenders on their c.£260m secured financing of the Non-Standard Finance Plc group (a provider of unsecured subprime consumer credit in the UK) in connection with its acquisition of the George Banco group;

  • funds managed by Alcentra Limited in connection with its unitranche financing of Oakley Capital's buy-out of Schülerhilfe (a German-based tutoring business);

  • Takeda Pharmaceutical Company on the $31bn financing for its £46bn recommended offer for Shire plc, the largest ever acquisition financing for a Japanese borrower;

  • the mandated lead arranger on its a c.US$1.9bn financing for BAE Systems Plc (a global defence, aerospace and security company listed on the LSE) in connection with its acquisition of the military global positioning business of Collins Aerospace;

  • a syndicate of lenders on the £200m acquisition facilities to Trinity Mirror plc (a UK news publisher) for its acquisition of Express Newspapers from Northern & Shell;

  • a global fund on a highly bespoke c.US$4bn basket margin loan financing secured over various listed securities;

  • the underwriting banks on both a c.US$230m pre-IPO holdco bridge financing and a c.£110m post-IPO margin loan for a joint venture entity owned by 2 private equity firms;

  • Just Eat Plc on its c.£9bn recommended all-share combination with Takeaway.com and Just Eat Plc's related c.535m revolving credit facility;

  • a syndicate of banks in connection with J D Wetherspoon Plc's £875m secured revolving credit facility;

  • Balfour Beatty Plc (a leading international infrastructure group) on its £375m revolving credit facility;

  • the syndicate of senior secured revolving and term lenders to BMI Healthcare (one of the UK's largest private hospital groups) in connection with its financial restructuring; and

  • various issuers on NZX-listed debt capital markets issuances.

Professional

Matt began his career at Russell McVeagh in 2013. He then worked at Linklaters LLP in London for four years as an associate and managing associate before returning to Russell McVeagh in 2021.

Matt is a contributor for the Chambers Global Practice Guide on Acquisition Finance in New Zealand.
