Profile

Hannah Brown is a senior associate in Russell McVeagh's Corporate Advisory team. She advises on a variety of corporate transactions, including initial public offerings, secondary capital raisings, mergers and acquisitions and a broad range of general corporate and securities law advisory work.
 
Hannah returned to Russell McVeagh in 2021, after three years working in London for Allen & Overy, where she advised on a number of high-profile, multi-national public and private transactions. During her time in London, Hannah also spent nine months on secondment in the investment banking team at J.P. Morgan, where she was involved in several prominent capital markets transactions.

Equity Capital Markets:

  • Eurowag, a leading European transport technology firm, on its IPO and listing on the premium listing segment of the Official List and on the main market of the London Stock Exchange.
  • Moonpig, an internet-based gifting business, on its IPO and listing on the premium listing segment of the Official List and on the main market of the London Stock Exchange, valuing the company at GBP1.2bn.
  • Network International, a technology-enabled payments solutions provider, on its IPO and listing on the premium listing segment of the Official List and on the main market of the London Stock Exchange, valuing the company at GBP2.2bn.
  • J.P. Morgan, in its role as Sponsor and Joint Global Co-ordinator on the demerger of Ninety One (formerly Investec Asset Management) and subsequent IPO and dual listing on the London Stock Exchange and Johannesburg Stock Exchange.
  • The proposed EUR150m listing of an EU FinTech special purpose acquisition company (SPAC) on Euronext Amsterdam.
  • TUI, a German-headquartered multinational travel and tourism company, on its EUR1bn rights issue.
  • Whitbread, a leading hospitality business and the owner of Premier Inn, the UK's biggest hotel brand, on its GBP1bn rights issue.
  • Hammerson, owner-manager and developer of European retail parks, shopping centres and designer outlet​s, on its GBP500m rights issue and Class 1 disposal to raise total combined gross proceeds of GBP825m.
  • Saga, provider of insurance and travel services, on its GBP150m capital raising executed by way of firm placing and placing and open offer.
  • British retailer, WHSmith, on its Class 1 acquisition Marshall Retail Group and institutional placing of new ordinary shares on the London Stock Exchange.
  • Certain creditors of the Interserve group in connection with the secondary placing of shares in Mitie Group plc acquired in connection with the sale by the creditor group of Interserve’s facilities management business.
  • Heartland Bank on its corporate restructure by way of court-effected scheme of arrangement and the listing of its new parent entity on the Australian Securities Exchange.
  • Perpetual Guardian on its proposed initial public offering on the NZX Main Board and ASX (a dual-track process resulting in the trade sale of the company).
  • Advising a New Zealand-based online trading platform in relation to it becoming a licensed market operator for the purposes of New Zealand securities law.
 

Mergers & Acquisitions:

  • American Tower Corporation on the divestment of its interests to form a strategic joint venture with Allianz Capital Partners and Caisse de dépôt et placement du Québec.
  • American Tower Corporation on the reorganisation of its European towers platform and redocumentation of its joint venture with PGGM.
  • AXA Investment Managers on its acquisition of an interest in ACCIONA Energía Internacional from infrastructure funds managed by KKR.
  • IHS Towers in its sale and lease back of telecommunication towers in Kuwait, and it proposed sale and lease back of telecommunication towers in Saudi Arabia.
  • ANZ, ASB, BNZ and Westpac on the sale of Paymark to Ingenico.
  • Kiwibank on its partial sale by NZ Post to ACC.
  • The shareholders of My Food Bag on the sale of a controlling interest to Waterman Capital.
  • NBC Universal Media on its joint venture with MediaWorks to operate the Bravo free-to-air television network.

Professional

Hannah joined Russell McVeagh as a graduate, and was admitted to practise in New Zealand, in 2014. She worked at Allen & Overy LLP in London as an associate and senior associate in the Corporate Group before returning to Russell McVeagh in 2021.
