Rhonda advises on all aspects of New Zealand taxation law from our Auckland office, with a particular focus on mergers and acquisitions, group restructuring, and corporate finance work. She returned to Russell McVeagh in 2014 after some time in the Taxpayer Rulings Unit of Inland Revenue.


With more than 10 years’ professional tax experience, Rhonda has advised on a broad range of transactions, including providing advice and liaising with Inland Revenue. Her recent experience includes advising:

  • Commonwealth Bank of Australia (CBA), the parent company of ASB Bank Limited (ASB), in respect of the sale of its New Zealand life and health insurance business (Sovereign) and life insurance business in Australia (CommInsure Life).
  • Trustpower on its demerger through a court scheme of arrangement which saw the creation of two listed companies. The demerger was structured as a distribution of the demerged entities upon liquidation, and has been implemented without enabling legislation.
  • Heartland Bank, ANZ Banking Group and ANZ on Basel III compliant Tier 2 and Additional Tier 1 issues.
  • Auckland Transition Agency on its merger of local authorities to form Auckland's 'Super City'.
  • Fonterra Co-Operative Group on its Trading Among Farmers project and the establishment of the Fonterra Shareholders' Fund (FSF). The FSF was the first multi-rate PIE to be listed.
  • Lion in relation to a number of acquisitions, including Panhead.
  • Pacific Equity Partners in relation to the acquisition of Academic Colleges Group.
  • KordaMentha in relation to the receivership of Pumpkin Patch.
  • The shareholders of Hally Labels in their divestment of the Hally Labels group to Hexagon.
  • Wells Fargo on its acquisition of GE Capital's dealer financing businesses.
  • Amphenol Corporation on its acquisition of Phitek by way of amalgamation.
  • Various entities in relation to the application of the base erosion profit shifting proposals to their businesses in New Zealand.
