Joanna specialises in funds management (including KiwiSaver and superannuation), financial services, securities law and general corporate matters. 

Joanna's clients benefit from her knowledge of financial markets and financial services regulations. She is a trusted adviser to corporate clients on the establishment, operation and wind up of retail and wholesale managed funds, employee share schemes and the issue and buyback of securities. She also advises on the provision of financial services including the regulations applying to financial advisers, discretionary investment management services and custodians.


Joanna has worked with many of the firm's major clients such as Spark, Fonterra, Auckland International Airport and NZX. Her experience includes advising:

  • Listed and unlisted fund managers in relation to their retail and wholesale managed investment schemes (including KiwiSaver and superannuation) and disclosure obligations.
  • NZX on its issue of subordinated notes.
  • Fidelity Life in relation to a capital raising and cornerstone investment by the Guardians of New Zealand Superannuation.
  • Westpac and Perpetual Guardian in relation to their discretionary investment management services.
  • New Zealand Funds Management in relation to a restructure of its funds and the establishment, operation and wind up of funds.
  • Trustees and custodians in relation to their custodial obligations and trustee duties.
  • Advising Fonterra in relation to its Trading Among Farmers programme and the establishment of the Fonterra Shareholders' Fund.
  • Overseas issuers and fund managers in relation to issues of securities and provision of services in New Zealand.
  • Spark, Auckland International Airport and Trade Me in relation to their employee and executive share schemes and other corporate governance matters.
  • Zhejiang Rifa Holding Group on the partial and full takeover of Airwork Holdings Limited.
  • Macquarie in relation to its underwriting of the Fletcher Building accelerated pro-rata entitlement offer.
  • Goodman Group in relation to various proposed restructures and offers of securities in New Zealand.

Joanna undertook Russell McVeagh’s graduate programme before being admitted to practise in New Zealand in 2007. She gained valuable experience as a solicitor and senior solicitor in both the Tax and Banking and Finance practice groups before moving to Corporate Advisory in 2011.

Joanna was promoted to senior associate in December 2016.
