Profile

Dominic is a senior associate with a broad commercial practice specialising in mergers and acquisitions, procurement and outsourcing, and also advises on financial regulation. He has experience advising clients across a range of industries, including electricity, oil and gas, banking and financial services, information technology, telecommunications, transport, media and advertising, as well as advising public sector clients.

Experience

Dominic's recent experience has been providing both corporate and commercial advice to clients across a range of complex and strategic transactions, including acting for:

  • Powershop in connection with the establishment of Powershop's UK business and the commercialisation of its IP in the UK through a new retail offering with RWE npower.
  • ACC in connection with its successful bid (as part of the Northern Express Group consortium) for the Pūhoi to Warkworth motorway PPP Project.
  • Fairfax, MediaWorks, NZME and TVNZ in relation to the establishment of a joint venture to develop and operate a new local "Kiwi" premium advertising exchange service (KPEX).
  • The Ministry of Defence in relation to the acquisition and support of Underwater Intelligence Surveillance and Reconnaissance (UWISR) capability from The Boeing Corporation.
  • Westpac in connection with its successful bid for the All-of-Government contracts for the provision of banking services to the New Zealand Government and wider public sector.
  • Meridian in relation to the sale of Damwatch Engineering.
  • BNZ as debt funder for the ShapEd consortium's bid for the Schools 3 PPP Project.
  • Fairfax in relation to the establishment of the Stuff Fibre joint venture.
  • Meridian in relation to the sale of Arc Innovations to Vector.
  • WPP in connection with the New Zealand aspects of the merger of WPP's Australian and New Zealand businesses with STW Communications Group.
  • Vector in relation to a solar equipment and electricity buyback offering.
  • KiwiRail in relation to the development of its fibre optic network in New Zealand.
  • Numerous clients in relation to their IT outsourcing and support arrangements (including Westpac, Meridian, New Zealand Lotteries, NZ Police, KiwiRail, Trustpower and BNZ).
  • Beijing Capital Group in relation to the acquisition of Waste Management NZ.
  • Meridian and Powershop in relation to their long-term smart meter deployment and service arrangements.
  • NZ Bus in connection with an arrangement with Wrightspeed for the supply of first-in-kind electric powertrain technology.
  • Irrigators in relation to new and foundation water take agreements.
  • Trustees Executors in relation to contracts for the provision of registry services for KiwiSaver and non-KiwiSaver products, and its licensing and support arrangement for registry software.
  • WPP in relation to the acquisition of shares in Heyday.
  • Trustpower in relation to its New Zealand smart metering services arrangements.
  • Mobil NZ in relation to the restructure of its retail fuels arrangements, fuels distribution, haulier, and lubricant supply networks in New Zealand.
  • Meridian in relation to the sale of Energy for Industry to Pioneer Generation.
  • Fairfax in relation to the acquisition of shares in Neighbourly.
  • WPP in relation to its acquisition of Chemistry Media.
  • The Ministry of Primary Industries and other government agencies in respect of the syndicated procurement of Enterprise Content Management solutions as a service.
  • Todd Capital in relation to the divestment of its 11% shareholding in Sky Television.
  • Westpac in relation to its card scheme arrangements with Visa and MasterCard.
  • KiwiRail and NZRC in relation to the long-term management and services arrangement in connection with their 2012 restructure.
  • Spark and Chorus in relation to their transitional and long term arrangements following the 2011 demerger.
