Profile

Sam Kember is a senior associate in Russell McVeagh's Corporate Advisory Group. He is experienced in advising on public and private M&A, equity capital markets transactions, joint venture and shareholder arrangements, and general corporate advisory work.
 
Sam returned to Russell McVeagh in 2023 after four years working in London for Linklaters LLP, where he advised on a number of high-profile, multi-national public and private transactions. During his time overseas, Sam also spent time on secondment in the M&A team at AXA Group in Paris, where he was involved in a number of international transactions and corporate group matters.

  • Unilever on the €4.5 billion sale of ekaterra (Unilever’s global tea business) to CVC Capital Partners.
  • CK Hutchison and Three UK on the proposed £15 billion UK telecommunications merger between Three and Vodafone.
  • ANZ Bank New Zealand on its sale of equipment and vehicle financing company, UDC Finance.
  • AXA Group on a number of international M&A transactions and internal corporate arrangements.
  • Fidelity Life, New Zealand’s largest NZ-owned life insurer, on the New Zealand Superannuation Fund's $100 million cornerstone investment.
  • BHP on its strategic investment in technology companies I-Pulse and I-Rox.
  • Octopus Renewables on its €100 million acquisition of nine wind farms across the UK, Ireland and France from global renewable energy company Renewable Energy Systems.
  • A global for-profit education group on a minority private equity investment and global carveout.
  • AUB Group on its AU$880m acquisition of Tysers Insurance Brokers, a London-based Lloyd's wholesale insurance broker.
  • Nintex on its acquisition of Promapp, a leading business process management software company.
  • Spark on the acquisition of marketing automation business Ubiquity Software Limited.
  • Michelin on its acquisition of a 25% stake in tyre wholesaler Tyreline Distributors and retailer Beaurepaires.

 Equity Capital Markets

  • UBS and Canaccord on their role as Joint Sponsors, Bookrunners and Underwriters on the of the £100 million secondary equity capital raise by Esken (formerly Stobart Group).
  • Intu Properties PLC on its proposed £1 billion equity raise via a placement and follow on rights offer.
  • The underwriter on Steel & Tube's $80.9 million capital raising via a placement and follow on rights offer.
  • IQ Student Accommodation on its proposed IPO (a dual-track process resulting in the trade sale of the company).
  • Oceania Healthcare on its IPO on the NZX Main Board and ASX.
  • Perpetual Guardian on its proposed IPO on the NZX Main Board and ASX.

Professional

Sam joined Russell McVeagh as a graduate in 2015. He worked at Linklaters LLP in London as a Managing Associate in the Corporate Group before returning to Russell McVeagh in 2023.
 
Sam was admitted to practise in New Zealand in 2015.
